Parties
This agreement is between Your Business Name ("Service Provider") and Client Name ("Client").
1. Scope of work
Service Provider will deliver the services and deliverables described in Proposal #[reference] dated [date]. Any work requested outside of this scope will be treated as additional services and quoted separately.
2. Timeline
Project begins on [start date] and is estimated to complete by [end date], subject to timely client feedback and approvals.
3. Payment
Total project fee: $[amount]. • [percentage]% deposit due upon signing. • Remaining balance due before final delivery. Late payments accrue a [percentage]% monthly finance charge and may pause work until resolved.
4. Revisions
The agreement includes up to [number] rounds of revisions for each deliverable. Additional revisions are billed at $[rate]/hour.
5. Client responsibilities
Client agrees to provide assets, approvals, and access needed to complete the project within 2 business days of request.
6. Intellectual property

7. Confidentiality
Both parties agree to keep confidential information private and use it only for project purposes.
8. Termination
Either party may terminate this agreement with 7 days' written notice. Client will pay for all work completed up to termination plus any non-refundable third-party costs.
9. Limitation of liability
Service Provider's liability is limited to the total fees paid under this agreement. Service Provider is not liable for indirect or consequential damages.
10. Governing law
This agreement is governed by the laws of [State/Country]. Any disputes will be handled in the courts of [State/Country].
